Announcement of Change of Date of Planned Consolidation of HD Media Operations with SDK

Although HOYA CORPORATION (“HOYA”) announced on September 30, 2008 that Showa Denko K.K. (“SDK”) and HOYA had reached a basic agreement to consolidate their hard disk (HD) media operations by establishing a joint venture in January 2009, HOYA hereby announces the postponement of the planned consolidation as they are continuing the discussion on the planned consolidation in the midst of the changes of economic and industry circumstances. The definitive agreement is scheduled to be concluded by the end of March,2009, and the joint venture is expected to be established in the first quarter from April 1 to June 30,2009.

The postponement will have no influence on earnings forecasts for the fiscal year ending March 31, 2009, which were announced as of February 3, 2009, because HOYA did not include the planned consolidation into the forecast.
